Risk Capital Advisors (RCA) has opened a new office in Amsterdam, signifying their growing presence in the continental European market.
RCA was founded in 2011 and has been a leader in the M&A Insurance industry ever since, steadily shaping its innovative use in M&A transactions. The expansion of RCA is part of a long-term strategy to meet the market demand for specialist M&A insurance advice. The Covid-19 pandemic has drastically disrupted the M&A market, and tumultuous times are expected in the months ahead. According to RCA, demand for specialist M&A insurance advice and transaction risk mitigation has grown substantially.
The new Dutch office will be led by Rob Faasen, a corporate M&A lawyer who has advised on transactions for over 30 years. Prior to RCA, Rob successfully merged his firm Faasen & Partners with Eversheds Sutherland Netherlands (BV) in 2008, where he remained Senior Partner until earlier this year. Rob has joined Rick Glover (Founder and Managing Director), Ben Brindle (Director) and Janine Fenwick (Director). Collectively, the teams in London and Amsterdam bring over 100 years of experience working on some of the largest insured transactions globally.
As insuring warranties and indemnities, tax liabilities and contingent risks in M&A transactions continues to grow in the Netherlands, so too has the demand from Buyers and Sellers of Dutch assets and their advisors for expert, local M&A insurance advisors. With Rob leading the business in the Benelux region, and working with London-based colleagues across Europe, the RCA team brings a combination of hands-on transaction experience and global M&A insurance expertise that is unrivalled in the M&A insurance market.
The RCA Directors have advised on over 600 M&A transactions across a broad range of industry sectors. Prior to founding RCA, Rick Glover established AIG’s M&A Insurance Group (Asia-Pacific) and led Aon’s Mergers & Acquisitions Group (Asia-Pacific). Ben Brindle previously spent 12 years working at AIG’s M&A Insurance Group, managing regional and global underwriting teams. Janine Fenwick has underwritten or placed M&A insurance policies in 30+ countries. Janine ran the Transactional Risk Team for Marsh’s Private Equity and M&A practice (Pacific) after managing AIG’s Emerging Markets and Australian M&A Insurance Group.
RCA is at the forefront of innovation in M&A insurance – such as developing the use of Warranty and Indemnity insurance in an auction process, that is now market standard.
Rick Glover, RCA Managing Director: “M&A insurance is a thriving and innovative tool to minimise risk and smooth the road for M&A transactions. The Netherlands is a growth market for M&A insurance given that some M&A advisors still do not consider M&A insurance solutions for their clients. But as sellers and buyers face difficult market conditions, stability and risk mitigation are of critical importance. We are delighted to appoint someone of Rob’s calibre, leadership qualities and corporate M&A legal experience.”
